01Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the websites, mobile applications, and services operated by Coptic Investment Group LLC ("CIG," "we," "us," or "our"), a Pennsylvania limited liability company, including CIG One, Coptic Events, CIG Construction, and the CIG Investor Portal (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

02Eligibility

To use the investment-related Services (CIG One, Investor Portal), you must be at least 18 years old and legally able to enter binding contracts. Coptic Events may be used by minors with parental consent and the church administering the account.

Some Services are offered on an invitation-only basis. We reserve the right to refuse or terminate access at our sole discretion.

03Accounts & Responsibilities

You agree to provide accurate, current information when registering, and to keep it updated. You are responsible for safeguarding your password and for all activity under your account. Notify us immediately of any unauthorized use.

One person should not maintain multiple accounts on the same Service. CIG may suspend duplicate or fraudulent accounts.

04Acceptable Use

You agree not to:

• Use the Services for any unlawful, fraudulent, or harmful purpose
• Upload or transmit viruses, malware, or any disruptive code
• Attempt to gain unauthorized access to any part of the Services or other users' accounts
• Scrape, harvest, or systematically extract data from the Services
• Impersonate any person, organization, or church
• Post content that is harassing, defamatory, obscene, hateful, or that infringes the rights of others
• Interfere with or disrupt the integrity or performance of the Services
• Use the Services to send unsolicited communications

Violation of these rules may result in account suspension or termination without notice.

05Subscriptions, Payment & Refunds

Coptic Events offers paid plans (Pro and Premium) on a recurring subscription basis. By subscribing, you authorize us to charge the payment method on file each billing cycle until you cancel.

Billing

• Subscriptions automatically renew unless canceled before the next billing date
• You may cancel from within the app at any time; cancellation takes effect at the end of the current billing period
• Prices may change with at least 30 days' notice

Refunds

Subscription fees are non-refundable except where required by law. Donations processed through the Services are final and are the responsibility of the receiving church. Refund disputes related to donations should be directed to the receiving church first.

06Investment Services Notice

Important: Information presented through the Services about CIG, its branches, ventures, or the Coptic Investment Club is for informational purposes only and does not constitute an offer to sell or a solicitation of an offer to buy any security.

Any actual offering of securities will be made only to qualified investors through formal offering documents (such as an Operating Agreement, Subscription Agreement, or Private Placement Memorandum), and only in jurisdictions where such offering is permitted.

Investments involve risk, including the possible loss of principal. Past performance does not guarantee future results. CIG is not a registered investment advisor and does not provide investment, tax, or legal advice through the Services. Consult your own advisors before making investment decisions.

07Intellectual Property

The Services, including all software, design, text, graphics, logos, and trademarks, are owned by CIG or its licensors and are protected by U.S. and international intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for their intended purpose.

You may not copy, modify, distribute, sell, or reverse-engineer any portion of the Services without our prior written consent.

08User Content

You retain ownership of content you submit to the Services (e.g., event posts, photos, prayer requests, profile information). By submitting content, you grant CIG a worldwide, non-exclusive, royalty-free license to host, display, distribute, and adapt that content as needed to operate and promote the Services within the relevant church or community.

You represent that you have all necessary rights to the content you submit and that it does not violate any law or third-party rights. CIG may remove content at its discretion if it violates these Terms.

09Disclaimers

The Services are provided "as is" and "as available," without warranties of any kind, either express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

We do not warrant that the Services will be uninterrupted, error-free, secure from unauthorized access, or free of viruses. We do not endorse, verify, or guarantee any user-submitted content, including church listings, event details, or testimonials.

10Limitation of Liability

To the maximum extent permitted by law, CIG and its officers, members, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or loss of goodwill, arising out of or related to your use of the Services.

Our total cumulative liability arising from or related to the Services shall not exceed the greater of (a) the amount you paid CIG in the 12 months preceding the event giving rise to the claim, or (b) one hundred dollars ($100).

11Indemnification

You agree to indemnify, defend, and hold harmless CIG from any claims, damages, or expenses (including reasonable attorneys' fees) arising out of your violation of these Terms, your misuse of the Services, or your violation of any rights of another.

12Termination

We may suspend or terminate your access to the Services at any time, with or without cause or notice, including for violation of these Terms. You may stop using the Services at any time. Sections that by their nature should survive termination (e.g., IP, disclaimers, liability limits, governing law) will survive.

13Governing Law & Disputes

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict of laws principles.

Any dispute arising out of or related to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Pennsylvania, and you consent to the personal jurisdiction of those courts.

You and CIG agree to first attempt to resolve any dispute informally by contacting us at support@copticinvestmentgroup.com.

14Changes to These Terms

We may revise these Terms from time to time. The "Last updated" date at the top reflects the most recent version. Material changes will be communicated via email or a prominent in-Service notice. Continued use after the effective date constitutes acceptance of the revised Terms.
